Working with contractors in the United Kingdom: status, IR35 and IP

13 Contractor of Record providers we score
21 EOR providers covering the UK, if the work turns into employment
You can engage a UK contractor without a company there, and if your business is based wholly overseas the IR35 decision is not yours to make. Employment status is still tested on its own, with a middle category called worker.
Short answer
UK employment law has three categories, employee, worker and self-employed, and courts and tribunals have the final word on which applies.
IR35 applies only when the contractor works through their own company; a sole trader contracting with you directly is outside it.
A medium or large UK client decides IR35 status, but a client based wholly overseas leaves that decision to the contractor's company.
A contractor is the first owner of copyright in their work, and an assignment in the contract is what moves it to you.
On this page
Where the UK draws the line, twice
The UK tests a contractor’s status twice, and the second test reaches only some contractors. Employment law sorts people into employee, worker and self-employed. Someone is probably self-employed if they quote for work, are not directly supervised, invoice and pay their own tax and National Insurance; a manager setting the workload, paid holiday and having to do the work in person suggest an employee. Tax status is judged separately and can come out differently.[1]
The tax test is the off-payroll working rules (IR35), and they apply only when the contractor works through their own intermediary, usually a limited company.[2] A medium or large client then decides the status and gives its reasons in a status determination statement. A small client, or one based wholly overseas with no UK residence or permanent establishment, leaves the decision to the contractor’s company.[3] The status block gives the size test and what follows a missing or unexplained decision.
The contract, IP and VAT
Copyright starts with the author. The employer is the first owner only where an employee makes the work in the course of employment, and even then an agreement can say otherwise.[4] A contractor is not covered by that rule, so the rights you need reach you through an assignment written into the contract. The IP block restates the default.
Whether an invoice carries VAT depends on the contractor’s own registration, which becomes compulsory once taxable turnover over 12 months goes over GBP 90,000.[5] A self-employed contractor is paid on invoice and settles their own income tax and National Insurance.[1] The forms they trade through and how they are taxed are under legal form and tax, and the paperwork a client keeps is under paying a contractor.
Contractor or employee: the test in United Kingdom
The test
Employment law has three main categories: employee, worker and self-employed. Someone is probably an employee if most of these hold: they must work regularly, a manager decides their workload and when and how it is done, they cannot send someone else, they get paid holiday, and the business provides their tools and equipment. Someone is probably self-employed if they bid or quote for work, are not under direct supervision, invoice for the work and pay their own tax and National Insurance. Tax status is tested separately and can come out differently.
Who decides
Courts and employment tribunals make the final decision on employment status; HMRC can separately argue tax status, which the tax tribunal and courts can confirm. Under the off-payroll rules a medium or large client decides tax status for a contractor working through their own company; for a small client, or a client based wholly overseas with no UK residence or permanent establishment, the contractor's company decides.
If it is employment
Where status is wrong, the individual and the business may have to pay unpaid tax and penalties. Under the off-payroll rules, a client that gives no reasons for its determination, or does not answer a disagreement within 45 days, becomes liable for the worker's income tax and National Insurance.[1][2][3]
What mistakes cost
United Kingdom: what hiring mistakes cost
Mistake
Who is liable
Cost
Employing staff without employers' liability insurance
Employer
Fine of GBP 2,500 for every day without proper cover[6]
Not displaying the employers' liability certificate or not showing it to inspectors
Off-payroll status determination given without reasons, or a disagreement left unanswered for 45 days
Medium or large client
The worker's income tax and National Insurance become the client's liability[3]
Legal form and tax
Sole trader
Self-employed in their own name; can start trading without registering, but must register for Self Assessment once earnings pass GBP 1,000 in a tax year.[7]
Limited company
Legally separate from its owners and run by directors; registered before it starts trading and pays Corporation Tax on its profits. A contractor working through their own company is the case the off-payroll (IR35) rules cover.[7][2]
Tax
Self-employed people are not paid through PAYE; they pay their own income tax and National Insurance. A sole trader pays income tax on profits through Self Assessment, with the bill due by 31 January, and Class 4 National Insurance of 6% on profits between GBP 12,570 and GBP 50,270 and 2% above (2026-27). Where the off-payroll rules apply and the worker is deemed employed, the deemed employer deducts income tax and employee National Insurance from the fees paid to the worker's company.
VAT
Registration is required once taxable turnover over 12 months goes over GBP 90,000.[1][8][9][2][5]
Contract and IP
Who owns the work
The author is the first owner of the copyright; where an employee makes the work in the course of employment the employer is first owner, subject to any agreement to the contrary. A contractor therefore keeps the rights unless the contract assigns them.[4]
How to pay a contractor in United Kingdom
Status determination statement
Where the off-payroll rules apply and the client is medium or large (two or more of turnover above GBP 10.2 million, balance sheet above GBP 5.1 million, more than 50 employees), the client gives the worker and the party it contracts with its conclusion and reasons, takes reasonable care, and keeps a record of the contractors it engages with their and their company's names and addresses.[3]

Not to you, if you are based wholly overseas. A client with no UK residence or permanent establishment does not apply the off-payroll rules; the contractor's own company decides whether they apply.
What makes someone self-employed rather than an employee in the UK?
Signs of self-employment include bidding or quoting for work, working without direct supervision, invoicing and paying their own tax. Regular work set by a manager, paid holiday and no right to send someone else point to employment.
What happens if a UK client gives no reasons for its IR35 decision?
The tax becomes the client's. A medium or large client that gives no reasons for its determination, or leaves a disagreement unanswered for 45 days, becomes liable for the worker's income tax and National Insurance.
When does a UK contractor have to register for VAT?
Once their taxable turnover over the last 12 months goes over GBP 90,000, the VAT threshold.
Who owns the copyright in work a UK contractor creates?
The contractor, as its author. The employer-first rule covers only employees working in the course of employment, so rights pass to you through an assignment in the contract.
